AdReplica provides pay-per-call services, including call routing, tracking, and analytics for
businesses (“Clients”) across various industries. Our services are designed to optimize inbound
call management and lead generation. - User Accounts
3.1. To access certain features of our services, you may be required to create an account. You
are responsible for maintaining the confidentiality of your account information and for all
activities that occur under your account.
3.2. You agree to provide accurate, current, and complete information during the registration
process and to update such information to keep it accurate, current, and complete. - Client Responsibilities
4.1. Clients are responsible for ensuring that their use of our services complies with all
applicable laws and regulations, including those related to telemarketing, consumer protection,
and data privacy.
4.2. Clients must obtain necessary consents from their callers for call recording and data
collection, where required by law.
4.3. Clients agree not to use our services for any unlawful or prohibited purpose, or in any
manner that could damage, disable, overburden, or impair our services. - Payments and Billing
5.1. Clients agree to pay all fees associated with the services as outlined in their service
agreement or as displayed on our website.
5.2. We reserve the right to change our pricing at any time, with notice provided to active
Clients.
5.3. Refunds will be issued in accordance with our refund policy, which may be updated from
time to time.
- Intellectual Property
6.1. All content, features, and functionality of our services, including but not limited to text,
graphics, logos, and software, are the exclusive property of AdReplica and are protected by
copyright, trademark, and other intellectual property laws.
6.2. Clients retain all rights to their own data and content provided through our services. - Limitation of Liability
7.1. AdReplica shall not be liable for any indirect, incidental, special, consequential, or punitive
damages, including loss of profits, data, or business opportunities.
7.2. Our total liability for any claim arising out of or relating to these Terms or our services shall
not exceed the amount paid by the Client in the 12 months preceding the claim. - Indemnification
Clients agree to indemnify, defend, and hold harmless AdReplica and its officers, directors,
employees, and agents from and against any claims, liabilities, damages, losses, and expenses
arising out of or in any way connected with their use of our services. - Termination
9.1. We reserve the right to suspend or terminate your access to our services at any time for
any reason, without notice.
9.2. Upon termination, your right to use our services will immediately cease, and we may delete
or disable access to your account and associated data. - Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of
Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising
out of or relating to these Terms shall be brought exclusively in the federal or state courts
located in Colorado. - Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any significant
changes by posting a notice on our website or sending an email to the address associated with
their account.
